Terms of Service

These Terms of Service ("Terms") govern your access to and use of our WhatsApp CRM platform ("the Platform", "Service", "we", "us"). By creating an account or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
The Platform is a business-to-business SaaS application that enables organizations to manage customer communications over WhatsApp and other messaging channels, send broadcasts, manage sales orders, run reorder reminders, and use AI-assisted features. The Service is provided "as is" subject to these Terms.
2. Eligibility & Accounts
- You must be at least 18 years old and legally able to enter into a contract.
- You must provide accurate registration information and keep it updated.
- You are responsible for safeguarding your password and for all activity on your account.
- Sharing of individual accounts is prohibited. Each team member must have their own account.
3. Acceptable Use
You agree NOT to use the Service to:
- Send spam, unsolicited bulk messages, or messages to contacts who have not opted in.
- Violate the WhatsApp Business Policy, WhatsApp Commerce Policy, or Meta Platform Terms.
- Distribute malware, phishing, or other malicious content.
- Impersonate any person or entity, or misrepresent your affiliation.
- Send content that is illegal, defamatory, hateful, harassing, or sexually explicit.
- Reverse-engineer, decompile, or attempt to gain unauthorised access to the Service.
- Use the Service to compete with us or build a substantially similar product.
- Bypass rate limits, scrape data, or use automated tools beyond the documented API.
We reserve the right to suspend or terminate accounts that violate these rules.
4. Your Content & Data
- You retain ownership of all customer data, message content, and contact lists you upload or that pass through the Service.
- You grant us a limited licence to process your content solely to provide the Service.
- You represent that you have obtained any necessary consents from your end-customers before processing their data through the Service.
- You are responsible for the legality of messages sent through the Service, including compliance with anti-spam laws (TCPA, GDPR e-Privacy, India DPDP Act, etc.).
5. WhatsApp & Third-Party Services
The Service integrates with Meta's WhatsApp Business API, OpenAI, Google Sheets, and other third parties. Your use of these integrations is also subject to those providers' terms. Service availability depends on these third parties; we are not responsible for their outages or policy changes.
6. Fees & Payment
- Subscription fees, if any, are agreed at the time of onboarding.
- WhatsApp conversation charges levied by Meta are passed through and are your responsibility.
- Fees are non-refundable except as required by law or expressly stated.
- Late payment may result in suspension of the Service.
7. Privacy
Our handling of personal data is described in our Privacy Policy, which is part of these Terms.
8. Data Deletion
You may request deletion of your account and all associated data at any time. See our Data Deletion Instructions for details. Backups are purged within 30 days of deletion.
9. Intellectual Property
The Platform, including its software, design, logos, and documentation, is owned by us or our licensors and protected by intellectual-property laws. You receive only the right to use the Service under these Terms — no other rights are granted.
10. Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance with reasonable notice where practical.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT MESSAGES WILL BE DELIVERED WITHOUT DELAY OR FAILURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000 IF NO FEES WERE PAID. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
13. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Suspension & Termination
- You may terminate your account at any time via the Admin settings.
- We may suspend or terminate your access without notice if you violate these Terms, if required by Meta or another provider, or if your use poses a security risk.
- Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (Sections 4, 9–13, 15–17) will survive termination.
15. Changes to the Terms
We may modify these Terms from time to time. Material changes will be notified to admin users via email or in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in your registered city of business, unless a different jurisdiction is mandated by applicable consumer-protection law.
17. General
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between us.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No waiver: failure to enforce a provision does not waive future enforcement.
- Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: neither party is liable for delays caused by events beyond reasonable control.
